COLLABORATION OFFER (BARTER AGREEMENT) FOR INFLUENCERS

This document constitutes a public offer (hereinafter referred to as the “Offer”) for entering into a barter collaboration agreement (hereinafter referred to as the “Agreement”) between Suplint B.V. (hereinafter referred to as the “Company”) and an individual who accepts the terms of this Offer (hereinafter referred to as the “Influencer”).

1. Subject of the Agreement

The Company provides the Influencer with food supplements (hereinafter referred to as “Products”), duly registered and authorized for distribution under EU law, free of charge, in exchange for a promotional mention or content (review / post / story etc.) on the Influencer’s social media account.

2. Terms of Barter Collaboration

2.1. The Company shall provide the Influencer with Products worth up to €50,00, based on a mutually agreed assortment.
2.2. The Influencer agrees to publish promotional content within 14 calendar days after receiving the Products, meeting the following requirements:

• Tag the official account of the Company;
• Use the appropriate disclosure tags (e.g. #ad, #sponsored), in accordance with EU Regulation 2017/2394 and the European Commission guidelines on commercial communications;
• Provide an honest, personal experience-based review;
• Include a disclaimer that the product is not a medicinal product and that users should consult a physician before use.

2.3. The Influencer is responsible for the accuracy of the information provided and for compliance with consumer protection and advertising laws.

3. Guarantees and Compliance

3.1. The Company guarantees that the Products:

• Comply with EU quality standards (e.g. HACCP, GMP where applicable);
• Do not contain prohibited substances as per Regulation (EC) No 1925/2006;
• Are properly labeled in the language of the distribution country, including ingredient list, warnings, and usage instructions.

3.2. The Influencer confirms they are of legal age, have full legal capacity, and are entitled to publish commercial content.

4. Legal Transparency

4.1. All content published under this Agreement must be clearly marked as sponsored content (e.g., #ad, #sponsored, Paid partnership).
4.2. Failure to comply with these disclosure requirements may result in liability under EU consumer protection and advertising laws, including Directive 2005/29/EC on Unfair Commercial Practices.

5. Copyright

5.1. The Influencer agrees that the Company or its affiliates will use in any way which does not contradict to the applicable laws, particularly, for advertising purposes and for promotion of the Product, in the Internet, in press media, and for any other purposes my photographic work, i.e. my image/video showing the product which is produced and sold by the Company. 

5.2. The Influencer irrevocably grants all rights of use to the Company for the reproduction, distribution and publication of the photo-graphs and videos, which may also be in electronic form. This includes the right to use the photographs in all media, in print and online products, on all social platforms, for the purposes of presenting itself and for commercial use.  

5.3. The Company is permitted to optimise the photographs and/or videos for printing and to alter or edit (cropping, montages, photographic or computer-aided editing or modification) them for this purpose.

5.4. Such consent is not limited in time.

6. Miscellaneous

6.1. This Offer becomes effective upon acceptance by the Influencer, which can be made via email or messenger confirmation.
6.2. This Agreement does not involve any financial compensation.
6.3. The Company reserves the right to use the published content for marketing purposes with credit to the Influencer.

7. Privacy Notice (GDPR Compliance)

By applying to participate in this collaboration, you agree to the processing of your personal data in accordance with the General Data Protection Regulation (GDPR).

What Data We Collect:

We may collect the following personal information from you:

• Full name
• Email address
• Social media handle(s)
• Postal address (for delivery purposes)
• Public statistics of your social media (e.g., number of followers)
• Any additional details you voluntarily provide in your message or media kit

Why We Collect It:

We process your data for the following purposes:

• To evaluate your application
• To communicate with you about the collaboration
• To deliver the agreed product(s) to your address
• To track campaign performance and repost your content (with credit)

Legal Basis:

The legal basis for processing your data is Article 6(1)(b) of the GDPR – processing is necessary for the performance of a contract (the barter agreement) – and Article 6(1)(a) – your explicit consent.

How Long We Keep Your Data:

We will retain your personal data only for as long as necessary for the purposes described above, and in any case, no longer than 12 months after the end of the collaboration.

Your Rights Under GDPR:

You have the right to:

• Access the data we hold about you
• Request correction or deletion of your data
• Withdraw your consent at any time
• Object to or restrict certain types of processing
• File a complaint with your local Data Protection Authority
